GORDONS PARTNERSHIP 2020 LIMITED ("GORDONS PARTNERSHIP") CLIENT FILE SHARE

1. FILE SHARING

Gordons Partnership ("We/us") client file share service allows you to upload, submit, and share texts, graphics, videos, data, information, files, or other content, including third party content (together: “Content”).

2. STEPS TO UPLOAD DOCUMENTS

Please follow the below instructions to upload your files:

a. Visit https://csf.gordonsols.com.

b. Select the 'Plus' icon.

c. Select the department you want to notify. If you are unsure, please contact the solicitor that is dealing with the matter.

d. Enter your email address and any reference number/message.

e. Select upload.

f. Your files will be uploaded to the Gordons Partnership server and the respective department will be notified your documents are available to be downloaded.

3. DATA SIZE

There is a maximum of 40 individual files per upload up to 5gb or up to 40 zip files. The maximum total size that can be uploaded at one time is 5gb.

4. UPLOADING CONTENT TO OUR SITE

a. We have put in place appropriate security measures to prevent your personal data from being accidentally lost, used or accessed in an unauthorised way, altered or disclosed. In addition, we limit access to your personal data to those solicitors, employees, consultants, agents and other third parties who have a need to know.

b. They will only process your personal data on our instructions and they are subject to a duty of confidentiality.

c. We have put in place procedures to deal with any personal data breach and will notify you and any applicable regulator of a breach where we are legally required to do so.

d. You must not upload any material that could incite a terrorist offence, solicit any person to participate in terrorist activities, provide instruction on any method or technique for committing a terrorist offence or threaten to commit a terrorist offence.

e. You are solely responsible for securing and backing up your Content.

5. UPLOADED CONTENT

a. Files are stored on a ring-fenced server that is only accessible by Gordon Partnership's server administrator.

b. We also have the right to disclose your identity to any third party who is claiming that any Content posted or uploaded by you to our site constitutes a violation of their intellectual property rights or of their right to privacy.

6. ENCRYPTION

The connection between your files and Gordon Partnership's server is encrypted using Secure Sockets Layer (SSL) technology, Your files are encrypted server-side and only decrypted when downloaded by the receiving department.

7. EXPIRY OF STORED DATA

We will only retain your personal data for as long as necessary to fulfil the purposes we collected it for, including for the purposes of satisfying any legal, accounting, reporting or regulatory requirements.

By law we must keep basic information about our clients (including Contact, Identity, Financial and Transaction Data) for six years after they cease being clients.

8. HOW WE MAY USE YOUR PERSONAL INFORMATION

We will only use your personal information as set out in our Privacy Policy.

9. WE MAY SUSPEND OR WITHDRAW OUR SITE

a. Our site is made available free of charge.

b. We do not guarantee that our site will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our site for business and operational reasons.

c. You are also responsible for ensuring that all persons who access our site through your internet connection are aware of these terms of use and other applicable terms and conditions, and that they comply with them.

10. YOU MUST KEEP YOUR ACCOUNT DETAILS SAFE

a. If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party.

b. We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these terms of use.

c. If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us at [email protected].

11. WE ARE NOT RESPONSIBLE FOR VIRUSES AND YOU MUST NOT INTRODUCE THEM

a. We do not guarantee that our site will be secure or free from bugs or viruses.

b. You are responsible for configuring your information technology, computer programmes and platform to access our site. You should use your own virus protection software.

c. You must not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful.

d. You must not attempt to gain unauthorised access to our site, the server on which our site is stored or any server, computer or database connected to our site.

e. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them.

f. In the event of such a breach, your right to use our site will cease immediate.

12. LIMITATION OF LIABILITY

a. Gordons Partnership exclude all implied conditions, warranties, representations or other terms that may apply to our site.

b. We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

i. use of, or inability to use, our site; or

ii. use of or reliance on any content displayed on our site.

c. In particular, we will not be liable for:

i. loss of data;

ii. loss of profits, sales, business, or revenue;

iii. business interruption;

iv. loss of anticipated savings;

v. loss of business opportunity, goodwill or reputation; or

vi. any indirect or consequential loss or damage.

d. You have sole responsibility for the adequate protection and backup of data and/or equipment used in connection with the file sharing facility.

e. You agree to hold Gordons Partnership, its officers, directors, shareholders, predecessors, successors in interest, employees, agents, affiliates and subsidiaries harmless from, and you covenant not to sue Gordons Partnership for, any claims based on or related to the use of the file sharing facility and/or Content.

13. GOVERNING LAW AND JURISDICTION

The terms of use, their subject matter and their formation, are governed by English law. You and we both agree that the courts of England and Wales will have exclusive jurisdiction except that if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are resident of Scotland, you may also bring proceedings in Scotland.
